​PRIVILEGED & CONFIDENTIAL​ ​October 29, 2025​ ​Dev Ittycheria​ ​Re:  Advisory Services to MongoDB, Inc.  ​Dear Mr. Ittycheria: ​ ​This​ ​letter​ ​agreement​ ​is​ ​to​​confirm​​our​​understanding​​with​​respect​​to​​your​​role​​as​​an​​advisor​​to​ ​MongoDB,​ ​Inc.​ ​(“MongoDB”​ ​or​ ​the​ ​“Company”). ​ ​MongoDB​ ​looks​ ​forward​ ​to​ ​a​ ​continued​ ​mutually​ ​beneficial​​association​​with​​you​​on​​the​​following​​terms,​​which​​are​​hereby​​made​​effective​​as​​of​​November​ ​10,​ ​2025,​ ​the​ ​date​ ​following​ ​the​ ​effective​ ​date​ ​of​ ​your​ ​resignation​ ​as​ ​President​ ​and​ ​Chief​ ​Executive​ ​Officer​ ​(the​ ​“Effective​ ​Date”)​ ​and​ ​will​ ​continue​​until​​November​​9,​​2026​​(“Term”)​​after​​which​​time​​the​ ​Term​ ​will​ ​automatically​ ​expire​​unless​​extended​​by​​mutual​​written​​agreement​​signed​​by​​both​​parties. ​​In​ ​the​​event​​that​​MongoDB​​wishes​​to​​retain​​you​​as​​an​​advisor​​beyond​​the​​initial​​Term,​​you​​shall​​continue​​to​ ​receive​​cash​​compensation,​​standard​​Company​​benefits,​​and​​continued​​vesting​​of​​all​​service-based​​equity​ ​awards​​outstanding​​as​​of​​the​​date​​hereof​​on​​the​​same​​terms​​and​​schedule​​for​​the​​duration​​of​​such​​extended​ ​service period.​ ​1. ​Informal​ ​Management​ ​Consultations. ​ ​Effective​ ​as​ ​of​ ​the​ ​Effective​ ​Date,​ ​you​ ​will​ ​serve​ ​as ​Advisor​​to​​MongoDB,​​including​​advising​​the​​President​​and​​Chief​​Executive​​Officer,​​the​​executive​​team ​and​ ​the​ ​board​ ​of​ ​directors​ ​of​ ​MongoDB​ ​(the​ ​“Board”). ​ ​You​ ​agree​ ​to​ ​provide​ ​historical​ ​and ​forward-looking​​advice​​to​​MongoDB​​on​​an​​as​​needed​​basis. ​​From​​time​​to​​time,​​members​​of​​MongoDB’s ​Board​​and​​management​​may​​contact​​you​​informally​​to​​seek​​your​​advice​​relating​​to​​MongoDB’s​​business. ​You​ ​agree​ ​to​ ​be​ ​available​ ​to​ ​MongoDB’s​ ​management​ ​and​ ​the​ ​Board​ ​for​ ​consultations​ ​by​ ​telephone, ​e-mail,​ ​virtually,​ ​or​ ​in​ ​person​ ​as​ ​your​ ​other​ ​business​ ​activities​ ​permit,​ ​which​ ​other​ ​activities​ ​shall​ ​be ​subject​ ​to​ ​your​ ​obligations​ ​to​ ​MongoDB​ ​pursuant​ ​to​ ​this​ ​letter​ ​agreement,​ ​MongoDB’s​ ​applicable ​employment policies and any other restrictive covenants to which you are subject. ​2. ​Board.​ ​You​​will​​remain​​as​​an​​executive​​member​​of​​MongoDB’s​​Board​​until​​November​​9,​​2026 ​and,​​as​​an​​executive​​member​​of​​the​​Board,​​you​​will​​not​​be​​paid​​for​​this​​Board​​role​​since​​you​​will​​be​​still ​receiving​ ​a​ ​salary​ ​in​ ​accordance​ ​with​ ​Section​ ​3​ ​below.​ ​Effective​ ​as​ ​of​ ​November​ ​9,​ ​2026,​ ​unless ​otherwise​ ​mutually​ ​agreed​ ​by​ ​you​ ​and​ ​the​​Board,​​you​​will​​be​​deemed​​to​​have​​resigned​​from​​the​​Board ​(and​ ​all​ ​other​ ​positions​ ​held​ ​at​ ​MongoDB​ ​and​ ​its​ ​affiliates)​ ​voluntarily,​ ​without​ ​any​ ​further​ ​required ​action​ ​by​ ​you,​ ​and​ ​you​ ​will,​ ​at​ ​the​ ​Board’s​ ​request,​ ​execute​ ​any​ ​documents​ ​necessary​ ​to​ ​reflect​ ​such ​resignation. ​3. ​Compensation. ​ ​Your​ ​salary​ ​for​ ​this​ ​role​ ​will​ ​be​ ​reduced​ ​to​ ​one​ ​hundred​ ​thousand​ ​dollars ​($100,000)​ ​per​ ​year,​​paid​​in​​equal​​installments​​twice​​per​​month​​in​​accordance​​with​​MongoDB’s​​payroll ​practices.​ ​You​ ​will​ ​also​ ​remain​ ​eligible​ ​to​ ​receive​ ​payment​ ​of​​your​​annual​​bonus​​for​​the​​period​​ending ​January​​31,​​2026,​​to​​be​​paid​​around​​April​​1,​​2026,​​based​​on​​MongoDB’s​​actual​​performance,​​which​​shall ​be​ ​targeted​ ​at​ ​seventy​ ​percent​ ​(70%)​ ​of​ ​the​ ​base​ ​salary​ ​you​ ​received​ ​for​ ​fiscal​ ​year​ ​2026.​ ​Following ​January​​31,​​2026,​​you​​will​​no​​longer​​be​​eligible​​for​​any​​bonus​​but​​will​​continue​​to​​receive​​your​​reduced ​salary​​of​​$100,000.​ ​For​​purposes​​of​​any​​outstanding​​equity​​or​​equity-based​​awards​​that​​are​​solely​​subject ​to​​vesting​​requirements​​as​​of​​the​​Effective​​Date​​granted​​under​​the​​MongoDB,​​Inc.​​2016​​Equity​​Incentive Exhibit 10.1

 
​PRIVILEGED & CONFIDENTIAL​ ​Plan​ ​(the​ ​“Outstanding​ ​Awards”),​ ​until​ ​October​ ​2,​ ​2026,​​as​​long​​as​​you​​continue​​to​​provide​​services​​to​ ​MongoDB​ ​under​ ​the​ ​terms​ ​of​ ​this​ ​letter​ ​agreement,​ ​you​ ​will​ ​be​ ​treated​ ​as​ ​not​ ​having​ ​experienced​ ​an​ ​interruption​ ​in​ ​your​ ​Continuous​ ​Service​ ​(as​ ​defined​​in​​the​​MongoDB,​​Inc.​​2016​​Equity​​Incentive​​Plan)​ ​and​​you​​will​​continue​​to​​vest​​in​​such​​Outstanding​​Awards. ​​For​​clarity,​​if​​your​​advisory​​services​​continue​ ​beyond​​November​​9,​​2026,​​your​​Continuous​​Service​​and​​vesting​​shall​​likewise​​continue​​until​​the​​earlier​ ​of​​(i)​​the​​termination​​of​​such​​extended​​service​​or​​(ii)​​your​​voluntary​​resignation.​​Upon​​either​​October​​2,​ ​2026​ ​or​ ​a​ ​termination​ ​of​​service​​for​​any​​reason​​(whichever​​comes​​first),​​you​​will​​no​​longer​​continue​​to​ ​vest​ ​in​ ​any​ ​such​ ​Outstanding​ ​Awards. ​ ​Any​ ​Outstanding​ ​Awards​ ​that​ ​are​ ​scheduled​ ​to​ ​vest​ ​following​ ​October​​2,​​2026​​will​​be​​forfeited​​as​​of​​the​​Effective​​Date.​ ​Further,​​any​​Outstanding​​Awards​​that​​are​​in​​the​ ​form​​of​​stock​​options​​will​​remain​​exercisable​​until​​the​​earlier​​of​​(i)​​the​​three-month​​anniversary​​of​​the​​last​ ​day​ ​of​ ​your​ ​service​ ​to​ ​MongoDB​ ​in​ ​any​ ​capacity​ ​and​ ​(ii)​ ​the​ ​expiration​ ​date​ ​of​ ​such​ ​stock​ ​options.​ ​Except​ ​for​​your​​continued​​vesting​​of​​the​​Outstanding​​Awards,​​your​​accrued​​rights​​under​​any​​MongoDB​ ​benefit​​plans,​​and​​any​​other​​payments​​or​​benefits​​required​​to​​be​​paid​​or​​provided​​by​​law,​​you​​agree​​that​ ​you​ ​will​ ​not​ ​be​​entitled​​to​​any​​additional​​compensation​​from​​MongoDB,​​including​​any​​salary,​​bonus​​or​ ​incentive​​compensation,​​leave,​​severance​​or​​separation​​pay,​​or​​other​​remuneration​​or​​benefits​​of​​any​​kind,​ ​other​ ​than​ ​as​ ​set​​forth​​in​​this​​letter​​agreement.​​As​​a​​regular​​full-time​​employee,​​you​​will​​continue​​to​​be​ ​eligible​ ​to​​participate​​in​​Company-sponsored​​medical,​​dental,​​vision,​​life​​insurance,​​short​​and​​long-term​ ​disability​ ​plans.​ ​The​ ​Company​​may​​discontinue​​or​​modify​​any​​such​​plans,​​programs​​or​​practices​​at​​any​ ​time, with or without notice.​ ​4. ​Voluntary​​Resignation.​ ​You​​acknowledge​​and​​agree​​that​​(i)​​your​​transition​​from​​Chief​​Executive ​Officer​​to​​Advisor​​effective​​as​​of​​the​​Effective​​Date​​and​​(ii)​​your​​separation​​from​​MongoDB​​effective​​as ​of​ ​November​ ​9,​ ​2026​ ​or​ ​such​ ​later​ ​date​ ​as​ ​mutually​ ​determined​ ​by​ ​you​ ​and​ ​the​ ​Board,​ ​in​ ​each​ ​case, ​constitutes​​a​​voluntary​​resignation,​​and​​you​​are​​not​​entitled​​to​​any​​compensation​​or​​benefits​​in​​connection ​with such resignation other than as set forth herein. ​5. ​Material​​Non-public​​Information. ​​As​​part​​of​​your​​role​​under​​this​​letter​​agreement,​​you​​will​​be​​the ​recipient​ ​of​ ​material​ ​non-public​ ​information​ ​about​ ​MongoDB. ​ ​You​ ​agree​ ​to​ ​continue​ ​to​ ​comply​ ​with ​United​ ​States​ ​securities​ ​laws​ ​with​ ​respect​ ​to​ ​the​ ​confidentiality​ ​and/or​ ​disclosure​ ​of​ ​such​ ​information. ​Further,​​you​​acknowledge​​and​​agree​​that,​​for​​the​​duration​​of​​your​​service​​with​​MongoDB​​in​​any​​capacity, ​you​​shall​​continue​​to​​be​​subject​​to​​the​​MongoDB,​​Inc.​​Insider​​Trading​​Policy​​(as​​approved​​by​​the​​Board ​on​ ​September​ ​20,​ ​2017)​ ​(as​ ​amended​ ​from​ ​time​ ​to​ ​time,​ ​the​ ​“Insider​ ​Trading​ ​Policy”),​ ​subject​ ​to​ ​the ​terms​ ​and​ ​conditions​ ​of​ ​the​ ​Insider​ ​Trading​ ​Policy,​ ​including,​ ​without​ ​limitation,​ ​any​ ​blackout​ ​period, ​pre-clearance, or other trading restrictions set forth therein. ​6. ​Clawback​ ​Policy.​ ​You​ ​acknowledge​ ​and​ ​agree​ ​that​ ​you​ ​shall​ ​continue​ ​to​ ​be​ ​subject​ ​to​ ​the ​MongoDB,​ ​Inc.​ ​Financial​ ​Restatement​ ​Compensation​ ​Recoupment​ ​Policy​ ​(the​ ​“Clawback​ ​Policy”), ​subject​ ​to​ ​the​ ​terms​ ​and​ ​conditions​ ​thereof​​and,​​accordingly,​​any​​Covered​​Compensation​​(as​​defined​​in ​the​​Clawback​​Policy)​​may​​be​​subject​​to​​forfeiture​​and/or​​recoupment​​in​​accordance​​with​​the​​terms​​of​​the ​Clawback Policy. ​7. ​Employee. ​​Your​​relationship​​with​​MongoDB​​will​​continue​​to​​be​​that​​of​​an​​employee.​ ​You​​will ​remain eligible to receive benefits under MongoDB’s benefit plan. ​8. ​Property​ ​of​ ​MongoDB. ​ ​For​ ​purposes​ ​of​ ​this​ ​letter​ ​agreement,​ ​“Designs​ ​and​ ​Materials”​ ​shall ​mean​ ​all​ ​designs,​ ​discoveries,​ ​inventions,​ ​products,​ ​computer​ ​programs,​ ​procedures,​ ​improvements, ​developments,​ ​drawings,​ ​notes,​​documents,​​information​​and​​materials​​made,​​conceived​​or​​developed​​by ​you​​alone​​or​​with​​others​​that​​result​​from​​or​​that​​are​​made,​​conceived​​or​​developed​​in​​connection​​with​​the ​services​​you​​provide​​to​​MongoDB​​pursuant​​to​​this​​letter​​agreement. ​​You​​hereby​​irrevocably​​transfer​​and ​assign​​to​​MongoDB​​any​​and​​all​​of​​your​​right,​​title​​and​​interest​​in​​and​​to​​Designs​​and​​Materials,​​including Exhibit 10.1

 
​PRIVILEGED & CONFIDENTIAL​ ​but​​not​​limited​​to​​all​​copyrights,​​patent​​rights,​​trade​​secrets,​​trademarks​​and​​moral​​rights. ​​You​​agree: ​​(a)​ ​to​ ​disclose​ ​promptly​​in​​writing​​to​​MongoDB​​all​​Designs​​and​​Materials;​​(b)​​to​​cooperate​​with​​and​​assist​ ​MongoDB​ ​to​ ​apply​ ​for,​ ​and​ ​to​ ​execute​ ​any​ ​applications​ ​and/or​ ​assignments​ ​to​ ​obtain,​ ​any​ ​patent,​ ​copyright,​ ​trademark​ ​or​ ​other​ ​legal​ ​protection​ ​for​ ​Designs​ ​and​ ​Materials​ ​in​ ​MongoDB’s​ ​name​ ​as​ ​MongoDB​ ​deems​ ​appropriate;​ ​and​ ​(c)​ ​to​ ​otherwise​ ​treat​ ​all​ ​Designs​ ​and​ ​Materials​ ​as​ ​“Confidential​ ​Information,” as defined below. ​ ​9. ​Confidential​ ​Information. ​ ​You​ ​recognize​ ​that,​ ​in​ ​the​ ​course​ ​of​ ​performing​​your​​services​​under ​this​ ​letter​ ​agreement,​ ​you​​may​​acquire​​information​​and​​materials​​from​​MongoDB​​and​​knowledge​​about ​information​ ​of​ ​a​ ​confidential​ ​or​ ​secret​ ​nature​ ​concerning​ ​MongoDB,​ ​including​ ​without​ ​limitation, ​knowledge​ ​about​ ​MongoDB’s​ ​business,​ ​products​ ​and​ ​planned​ ​products,​ ​marketing​ ​plans,​ ​financial ​information,​ ​forecasts,​ ​personnel,​ ​customers,​ ​clients,​ ​suppliers,​ ​experimental​ ​work​ ​and​ ​programming ​techniques. ​​All​​such​​knowledge,​​information​​and​​materials​​acquired,​​the​​existence,​​terms​​and​​conditions ​of​​this​​letter​​agreement,​​and​​all​​Designs​​and​​Materials,​​are​​and​​will​​be​​the​​trade​​secrets​​and​​confidential ​and​ ​proprietary​ ​information​ ​of​ ​MongoDB​ ​(collectively,​ ​the​ ​“Confidential​ ​Information”). ​ ​Confidential ​Information​ ​will​ ​not​ ​include,​ ​however,​ ​any​ ​information​ ​which​ ​is​ ​or​​becomes​​part​​of​​the​​public​​domain ​through​ ​no​ ​fault​ ​of​​yours​​or​​that​​MongoDB​​regularly​​gives​​to​​third​​parties​​without​​restriction​​on​​use​​or ​disclosure. ​​You​​agree​​to​​hold​​all​​such​​Confidential​​Information​​in​​strict​​confidence,​​not​​to​​disclose​​it​​to ​others​ ​or​ ​use​ ​it​ ​in​ ​any​ ​way,​ ​commercially​ ​or​ ​otherwise​ ​(including​ ​without​ ​limitation​ ​lecturing​​upon​​or ​publishing​​articles​​concerning​​Confidential​​Information),​​except​​in​​performing​​your​​obligations​​under​​this ​letter​​agreement,​​and​​not​​to​​allow​​any​​unauthorized​​person​​access​​to​​it. ​​You​​agree​​to​​return​​to​​MongoDB ​promptly​​upon​​request,​​and​​in​​any​​event​​after​​termination​​or​​expiration​​of​​this​​letter​​agreement,​​any​​and ​all​​records,​​paper,​​media​​or​​other​​embodiment​​containing​​any​​Confidential​​Information. ​​Notwithstanding ​the​​foregoing,​​nothing​​in​​this​​letter​​agreement​​precludes​​or​​otherwise​​limits​​your​​ability​​to​​communicate ​directly​ ​with​ ​and​​provide​​information,​​including​​documents,​​not​​otherwise​​protected​​from​​disclosure​​by ​any​ ​applicable​ ​law​ ​or​ ​privilege​ ​to​ ​the​ ​Securities​ ​and​ ​Exchange​ ​Commission​ ​(the​ ​“SEC”),​​or​​any​​other ​federal,​ ​state​ ​or​ ​local​ ​governmental​ ​agency​ ​or​ ​commission​ ​or​ ​self-regulatory​ ​organization​ ​(each​ ​such ​agency,​ ​commission​ ​or​​organization,​​a​​“Government​​Agency”)​​or​​self-regulatory​​organization​​regarding ​possible​ ​legal​ ​violations,​ ​without​ ​disclosure​ ​to​ ​MongoDB. ​ ​You​ ​do​ ​not​ ​need​ ​the​ ​prior​ ​authorization​ ​of ​MongoDB​​to​​make​​any​​such​​reports​​or​​disclosures,​​and​​you​​shall​​not​​be​​required​​to​​notify​​MongoDB​​that ​such​ ​reports​ ​or​ ​disclosures​ ​have​ ​been​ ​made. ​ ​MongoDB​ ​may​ ​not​ ​retaliate​ ​against​​you​​for​​any​​of​​these ​activities,​ ​and​​nothing​​in​​this​​letter​​agreement​​requires​​you​​to​​waive​​any​​monetary​​award​​or​​other​​relief ​that​​you​​might​​become​​entitled​​to​​from​​the​​SEC​​or​​any​​other​​Government​​Agency. ​​Pursuant​​to​​Section​​7 ​of​​the​​federal​​Defend​​Trade​​Secrets​​Act​​of​​2016,​​an​​individual​​shall​​not​​be​​held​​criminally​​or​​civilly​​liable ​under​ ​any​ ​federal​ ​or​ ​state​ ​trade​ ​secret​ ​law​ ​for​ ​the​ ​disclosure​ ​of​ ​a​ ​trade​ ​secret​ ​that:​ ​(i)​ ​is​ ​made​ ​in ​confidence​​to​​a​​federal,​​state,​​or​​local​​government​​official,​​either​​directly​​or​​indirectly,​​or​​to​​an​​attorney, ​in​ ​each​ ​case​ ​solely​ ​for​ ​the​ ​purpose​ ​of​ ​reporting​ ​or​ ​investigating​ ​a​ ​suspected​ ​violation​​of​​law;​​or​​(ii)​​is ​made​​in​​a​​complaint​​or​​other​​document​​filed​​in​​a​​lawsuit​​or​​other​​proceeding,​​if​​such​​filing​​is​​made​​under ​seal. ​ ​In​ ​addition,​ ​and​ ​without​ ​limiting​ ​the​ ​preceding​ ​sentence,​ ​if​ ​you​ ​file​ ​a​ ​lawsuit​ ​for​ ​retaliation​ ​by ​MongoDB​ ​for​​reporting​​a​​suspected​​violation​​of​​law,​​you​​may​​disclose​​the​​trade​​secret​​to​​your​​attorney ​and​​may​​use​​the​​trade​​secret​​information​​in​​the​​court​​proceeding,​​if​​you​​(x)​​file​​any​​document​​containing ​the​​trade​​secret​​under​​seal​​and​​(y)​​do​​not​​disclose​​the​​trade​​secret,​​except​​pursuant​​to​​court​​order. ​​Nothing ​in​​this​​letter​​agreement​​is​​intended​​to​​conflict​​with​​18​​U.S.C.​​§1833(b)​​or​​create​​liability​​for​​disclosures​​of ​trade secrets that are expressly allowed by such Section. ​10. ​Conflicts​ ​of​ ​Interest. ​ ​You​ ​hereby​ ​represent​ ​that​ ​the​ ​obligations​​contemplated​​hereby​​do​​not,​​in ​any​ ​way,​ ​conflict​ ​with​ ​any​ ​other​ ​agreement​ ​and/or​ ​commitment​ ​on​ ​your​ ​part. ​ ​You​ ​agree​ ​to​ ​inform ​MongoDB​ ​promptly​ ​and​ ​in​ ​writing​ ​if​ ​any​ ​such​ ​conflict​ ​arises. ​ ​You​ ​agree​​that​​you​​will​​not​​disclose​​to ​MongoDB​​any​​proprietary​​information​​that​​you​​currently​​have​​obtained,​​or​​may​​obtain​​in​​the​​future,​​from ​any other individual or organization. ​PRIVILEGED & CONFIDENTIAL​ ​11. ​Termination​ ​and​ ​Survival​ ​of​ ​Termination. ​ ​Either​ ​you​ ​or​ ​MongoDB​ ​may​ ​terminate​ ​this​ ​letter ​agreement​ ​on​ ​delivery​ ​of​ ​thirty​ ​(30)​ ​days​ ​prior​ ​written​ ​notice​ ​to​ ​the​ ​other​ ​party. ​ ​Notwithstanding​ ​the ​foregoing,​ ​MongoDB​ ​may​ ​not​ ​terminate​ ​this​ ​letter​ ​agreement​ ​prior​ ​to​ ​November​ ​9,​ ​2026​ ​except​ ​for ​Cause,​​as​​determined​​in​​good​​faith​​by​​the​​Board.​​“Cause”​​shall​​have​​the​​meaning​​set​​forth​​in​​your​​Offer ​Letter​​dated​​December​​20,​​2021.​​The​​provisions​​of​​Sections​​4,​​5,​​6,​​8,​​9,​​10,​​11,​​12​​and​​13​​of​​this​​letter ​agreement will survive any expiration or termination of this letter agreement. ​12. ​Interpretation. ​​The​​terms​​contained​​in​​this​​letter​​agreement​​are​​subject​​to​​interpretation​​under​​the ​laws​ ​of​ ​the​ ​State​ ​of​ ​New​​York,​​without​​giving​​effect​​to​​that​​body​​of​​laws​​pertaining​​to​​conflict​​of​​laws ​and​​can​​be​​amended​​only​​in​​a​​signed​​writing​​and​​by​​joint​​agreement​​of​​both​​you​​and​​MongoDB. ​​If​​any ​provision​​of​​this​​letter​​agreement​​is​​determined​​by​​any​​court​​or​​arbitrator​​of​​competent​​jurisdiction​​to​​be ​invalid,​ ​illegal​ ​or​ ​unenforceable​ ​in​ ​any​​respect,​​such​​provision​​will​​be​​enforced​​to​​the​​maximum​​extent ​possible​ ​given​ ​the​ ​intent​ ​of​ ​the​ ​parties​ ​hereto. ​ ​If​ ​such​​provision​​cannot​​be​​so​​enforced,​​such​​provision ​shall​​be​​stricken​​from​​this​​letter​​agreement​​and​​the​​remainder​​of​​this​​letter​​agreement​​shall​​be​​enforced​​as ​if​​such​​invalid,​​illegal​​or​​unenforceable​​provision​​had​​(to​​the​​extent​​not​​enforceable)​​never​​been​​contained ​in​ ​the​ ​letter​ ​agreement. ​​This​​letter​​agreement​​constitutes​​the​​complete​​and​​exclusive​​understanding​​and ​agreement​​of​​you​​and​​MongoDB​​and​​supersedes​​all​​prior​​understandings​​and​​agreements,​​whether​​written ​or​ ​oral,​ ​with​ ​respect​ ​to​ ​the​ ​subject​ ​matter​ ​hereof,​ ​including​ ​the​ ​offer​ ​letter​ ​by​ ​and​ ​between​ ​you​ ​and ​MongoDB​​dated​​as​​of​​December​​20,​​2021;​​provided​​that,​​at​​all​​times​​in​​the​​future,​​you​​will​​remain​​bound ​by​ ​the​ ​terms​ ​of​ ​any​ ​agreements​​between​​you​​and​​MongoDB​​containing​​restrictive​​covenants,​​including ​with​ ​respect​ ​to​ ​non-competition,​ ​non-solicitation,​ ​and​ ​confidentiality​ ​covenants,​​to​​the​​extent​​permitted ​under​ ​applicable​ ​law. ​​This​​letter​​agreement​​may​​be​​executed​​in​​two​​or​​more​​counterparts,​​including​​by ​facsimile​​or​​electronic​​signature​​transmission,​​with​​the​​same​​force​​and​​effect​​as​​if​​each​​of​​the​​signatories ​had executed the same instrument. ​13. ​Cooperation. ​ ​During​ ​the​ ​Term​ ​and​ ​at​ ​all​ ​times​ ​thereafter,​ ​you​ ​agree​ ​that​ ​you​ ​will​ ​provide ​reasonable​​cooperation​​with​​and​​assistance​​to​​MongoDB​​in​​connection​​with​​the​​defense​​or​​prosecution​​of ​any​ ​claim​ ​that​ ​may​ ​be​ ​made​ ​against​ ​or​ ​by​ ​MongoDB,​ ​or​ ​in​ ​connection​ ​with​ ​any​ ​ongoing​ ​or​ ​future ​investigation​ ​or​​dispute​​or​​claim​​of​​any​​kind​​involving​​MongoDB,​​including​​any​​proceeding​​before​​any ​arbitral,​ ​administrative,​ ​judicial,​ ​legislative,​ ​or​ ​other​ ​body​ ​or​ ​agency,​ ​including​ ​testifying​ ​in​ ​any ​proceeding​ ​to​ ​the​ ​extent​ ​such​ ​claims,​​investigations​​or​​proceedings​​are​​related​​to​​services​​performed​​or ​required​ ​to​ ​be​​performed​​by​​you,​​knowledge​​possessed​​by​​you,​​or​​any​​act​​or​​omission​​by​​you​​provided ​that​ ​such​ ​cooperation​ ​shall​ ​be​ ​on​ ​a​ ​schedule​ ​reasonably​ ​convenient​ ​to​ ​you​ ​and​ ​shall​ ​not​ ​unreasonably ​interfere​ ​with​ ​your​ ​other​​business​​and​​personal​​activities. ​​MongoDB​​will​​reimburse​​you​​for​​reasonable ​related expenses in connection with such cooperation. ​14. ​Binding​ ​Nature. ​ ​This​ ​Agreement​ ​shall​ ​be​ ​binding​ ​upon​ ​and​ ​inure​ ​to​ ​the​ ​benefit​ ​of​ ​you​ ​and ​MongoDB​ ​and​ ​their​ ​respective​ ​successors​ ​and​ ​permitted​ ​assigns. ​ ​This​​Agreement​​may​​be​​assigned​​by ​MongoDB​​to​​any​​affiliate​​of​​MongoDB​​and​​to​​a​​successor​​of​​its​​business​​to​​which​​this​​Agreement​​relates ​(whether by purchase or otherwise). ​15. ​Taxes. ​​All​​payments​​under​​this​​letter​​agreement​​will​​be​​subject​​to​​all​​deductions​​required​​by​​law, ​including​​applicable​​taxes​​and​​withholdings. ​​In​​accordance​​with​​its​​normal​​payroll​​practices,​​MongoDB ​will​​mail​​to​​your​​home​​address​​in​​MongoDB’s​​records​​any​​tax​​reporting​​forms​​it​​prepares​​in​​accordance ​with​​any​​payments​​made​​to​​you,​​at​​such​​time​​as​​those​​forms​​are​​prepared​​and/or​​filed. ​​You​​will​​be​​solely ​responsible​​and​​liable​​for​​any​​taxes​​owed​​on​​any​​payments​​or​​benefits​​made​​or​​provided​​to​​you​​under​​this ​letter​ ​agreement,​ ​except​ ​for​ ​taxes​ ​MongoDB​ ​believes​ ​it​ ​has​ ​an​ ​obligation​ ​to​ ​withhold​ ​from​ ​any​ ​such ​payments or benefits. ​PRIVILEGED & CONFIDENTIAL​ ​16. ​Section​​409A. ​​The​​intent​​of​​the​​parties​​is​​that​​payments​​and​​benefits​​under​​this​​letter​​agreement ​comply​​with,​​or​​be​​exempt​​from,​​Internal​​Revenue​​Code​​Section​​409A​​and​​the​​regulations​​and​​guidance ​promulgated​ ​thereunder​ ​(collectively,​ ​“Code​ ​Section​ ​409A”)​ ​and,​ ​accordingly,​ ​to​ ​the​ ​maximum​ ​extent ​permitted,​ ​this​ ​Letter​ ​Agreement​ ​shall​ ​be​ ​interpreted​ ​to​ ​be​ ​in​ ​compliance​ ​with​ ​Code​ ​Section​ ​409A; ​provided,​​that​​MongoDB​​does​​not​​guarantee​​to​​you​​any​​particular​​tax​​treatment​​with​​respect​​to​​this​​letter ​agreement​ ​and​ ​any​ ​payments​ ​hereunder,​ ​and​ ​MongoDB​ ​and​ ​its​ ​affiliates​ ​shall​ ​have​ ​no​ ​liability​ ​or ​obligation​​to​​you​​for​​any​​failure​​of​​this​​letter​​agreement​​or​​any​​payments​​hereunder​​to​​comply​​with​​Code ​Section 409A. ​17. ​Other​ ​Agreements.​ ​You​ ​will​ ​remain​ ​bound​ ​by​ ​the​ ​terms​ ​and​ ​provisions​ ​of​ ​your​ ​Employee ​Invention​​Assignment​​Agreement,​​Confidentiality​​and​​Arbitration​​Agreement,​​as​​in​​effect​​on​​the​​date​​of ​this​ ​letter​ ​agreement,​ ​and​ ​the​ ​Indemnity​ ​Agreement​ ​between​ ​you​ ​and​​the​​Company,​​as​​in​​effect​​on​​the ​date​​of​​this​​letter​​agreement​​will​​remain​​in​​effect.​ ​You​​and​​the​​Company​​hereby​​acknowledge​​and​​agree ​that​ ​effective​ ​as​ ​of​ ​the​ ​Effective​ ​Date,​ ​this​ ​letter​ ​agreement​ ​shall​ ​supersede​ ​the​ ​Second​ ​Amended​ ​and ​Restated​​Offer​​Letter​​between​​you​​and​​the​​Company,​​dated​​December​​20,​​2021,​​in​​all​​respects;​​provided ​that the definition of “Cause” is hereby incorporated by reference. ​If​​the​​foregoing​​represents​​your​​understanding​​of​​your​​role​​as​​an​​advisor​​to​​MongoDB,​​please​​sign​​below​ ​and​ ​return​ ​the​ ​executed​ ​letter​ ​agreement​ ​to​ ​me. ​ ​The​ ​enclosed​ ​copy​ ​is​ ​for​ ​your​ ​files. ​ ​Once​ ​again,​ ​we​ ​appreciate​ ​your​ ​interest​ ​in​ ​MongoDB​ ​and​ ​look​ ​forward​ ​to​ ​a​ ​stimulating​ ​and​ ​mutually​ ​beneficial​ ​association with you. ​ ​Very truly yours,  ​By:​ ​ ​AGREED AND CONSENTED TO:  ​ ​Dev Ittycheria​ Exhibit 10.1
