Private Placement

On October 17, 2024, Jiuzi Holdings Inc. (the “Company”) entered into a securities purchase agreement (the “Purchase Agreement”) with certain investors (the “Purchasers”) pursuant to which the Company agreed to sell an aggregate of 500,000 ordinary shares, par value $0.00195 per share, of the Company at a price of $0.72 per share, for aggregate gross proceeds of $360,000.

The Company and each Purchaser to the Purchase Agreement have each made customary representations, warranties, and covenants. The Company currently intends to use the net proceeds from the offering for working capital and general corporate purposes.
