Explanatory Note

On December 11, 2024, Satellogic Inc. (the “Company”) issued a press release, attached hereto as Exhibit 99.1, announcing the execution of a tasking, data licensing and distribution agreement between the Company and Maxar Intelligence (“Maxar”), pursuant to which the Company granted Maxar exclusive rights to task the Company’s high-revisit constellation and use its cost-effective satellite imagery to support national security missions for the U.S. Government and select U.S. partners internationally.
