Explanatory Note

On September 12, 2024, Gorilla Technology Group Inc., a Cayman Islands exempted company (the “Company”), issued a press release announcing that the Company has agreed to repurchase approximately 1.1 million of its issued and outstanding ordinary shares from existing shareholders pursuant to a share buyback program. The press release is furnished as Exhibit 99.1 to this Report of Foreign Private Issuer on Form 6-K.
