Debt Restructuring

On December 23, 2024, HUB Cyber Security Ltd. (the “Company”) issued a press release entitled “HUB Cyber Security (HUBC) Secures $7M In Debt Restructuring.” A copy of this press release is attached to this Form 6-K as Exhibit 99.1.

Results of 2024 AGM

On December 30, 2024, the Company held its Annual General Meeting of Shareholders (the “Meeting”), at the Company’s offices located at 2 Kaplan Street, Tel Aviv, Israel. The proposals on the Meeting’s agenda are described in the Company’s Proxy Statement for the Meeting, which was attached as Exhibit 99.1 to a Report of Foreign Private Issuer on Form 6-K, furnished to the Securities and Exchange Commission, dated December 2, 2024. Each of the proposals were voted upon and approved by the requisite majority of the Company’s shareholders.
