Item 8.01 Other Events
On February 6, 2023, Berkshire Hills Bancorp, Inc. (the “Company”) announced that the Company’s Annual Meeting of Shareholders is scheduled to be held on May 18, 2023 at 10:00 a.m. in a virtual meeting format. The date of March 24, 2023 was established as the record date for the determination of the shareholders entitled to notice of, and to vote at, the Annual Meeting.

The agenda for the Annual Meeting will include proposals related to director election, executive compensation, the frequency with which the shareholders will vote on our executive compensation and the auditor engagement.

A news release regarding the Annual Meeting of Shareholders was issued by the Company and is filed as Exhibit 99.1 hereto and incorporated herein by reference.
