On October 27, 2025, Janus Henderson Group plc (the “Company”) issued a press release announcing the Company has received a letter outlining a non-binding acquisition proposal submitted jointly by Trian Fund Management, L.P. and its affiliated funds (“Trian”) and General Catalyst Group Management, LLC and its affiliated funds (“General Catalyst”). A copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
