Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
 
On April 12, 2023, John Barone, Controller and Principal Accounting Officer of PBF Energy Inc. (the “Company”) and its subsidiaries, informed the Company of his intention to resign effective May 11, 2023 (the “Effective Date”).  Following the Effective Date, Karen B. Davis, the Company’s Chief Financial Officer, will assume the responsibilities of principal accounting officer until such time as Mr. Barone’s successor is appointed.
