Item 8.01 Other Events.
As previously disclosed, on May 12, 2026, ACM Research, Inc. (the “Company”) entered
into a Securities Purchase Agreement (the “Purchase Agreement”) with certain investors named therein (the “Investors”). Pursuant to the Purchase Agreement, the Company agreed to issue and sell to the Investors in a registered direct offering (the
“Offering”) an aggregate of 2,884,615 shares (the “Shares”) of Class A common stock, par value $0.0001 per share (“Common Stock”) at an offering price of $52.00 per Share pursuant to an effective shelf registration statement on Form S-3 (File No.
333-278041) and a related prospectus supplement filed with the U.S. Securities and Exchange Commission on May 12, 2026.
On May 15, 2026, the Company consummated the Offering and received net proceeds of approximately $149,849,980, after deducting estimated offering
expenses payable by the Company.
