Item 8.01.
Other Events.

As previously announced, on April 25, 2025, the Listing Qualifications Staff, or the Staff, of the Nasdaq Stock Market notified Cenntro Inc. (the “Company”) that it was not in compliance with the requirement to maintain a minimum closing bid price of $1.00 per share (the “Minimum Bid Price Requirement”), as set forth in Nasdaq Listing Rule 5550(a)(2), because the closing bid price of the Company’s common stock was below $1.00 per share for thirty consecutive business days. In accordance with Nasdaq Listing Rule 5810(c)(3)(A), the Company was granted a period of 180 calendar days from the notification date, or until October 22, 2025, to regain compliance with the Minimum Bid Price Requirement.

On October 23, 2025, the Company received a written notice from the Staff granting an additional 180 days, or until April 20, 2026, to regain compliance with the Minimum Bid Price Requirement. Further information is included in the press release attached as Exhibit 99.1 entitled “Cenntro Granted 180-Day Extension to Meet Nasdaq Minimum Bid Price Requirement” hereto, which is incorporated by reference into this Item 8.01.
