Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 12, 2025, the Board of Directors of PSQ Holdings, Inc., among other things, confirmed the executive officers and persons subject to Section 16 of the Securities Exchange Act of 1934, as amended. As a result, Andrew Weisbecker, our President of Marketplace, ceased to serve as an executive officer, and is no longer a named executive officer, effective as of the same date. Mr. Weisbecker’s title and employment status remain unchanged.
