Item 7.01 Regulation FD Disclosure.
On December 11, 2025, Innventure, Inc. (the “Company”) issued a press release announcing that it has been added to the Russell 2000® Index, the broader Russell 3000® Index and the Russell Microcap® Index, effective at the open of the U.S. equity markets on December 22, 2025, as part of the annual Russell indexes reconstitution. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and incorporated herein by reference.
